General Terms and Conditions of Sale (T&Cs)

These T&Cs apply to all sales of interlinings products between LAINIERE DE PICARDIE BC, SAS (“Supplier”) and its business clients (“Client(s)”). By placing an order via the Supplier’s e-commerce platform, the Client confirms full endorsement of these terms.

1. Application and Online Orders

  • Scope: These T&Cs constitute the sole basis of commercial negotiations and prevail over any Client’s purchase terms.
  • Order Confirmation: Orders are only firm upon written order confirmation from the Supplier.
  • Electronic Signature: The Client acknowledges that validating an order on the Supplier's website (the "double-click") constitutes an electronic signature which has, between the parties, the same legal value as a handwritten signature.
  • Account Security: The Client is responsible for maintaining the confidentiality of their online credentials. Any order placed via the Client's account is deemed to be made by the Client.
  • Modifications: The Client must review and correct its order before submission.
  • Alternatives: The Client may be notified of errors in product information or product availability and may receive a counter-offer.

2. Delivery and Shipping

  • Delivery Method: Unless stated otherwise, European e-commerce orders will be shipped via a private carrier. Shipping costs are calculated at checkout.
  • Transfer of Risk: The Client bears all risks as soon as products are made available to the transporter at the Supplier’s premises.
  • Timescales: Delivery dates are indicative. Delays do not entitle the Client to withdraw or claim damages.
  • Receipt: The Client must check the quality and quantity of products upon delivery. Any damage during transit must be noted on the carrier’s receipt and confirmed via registered mail to the carrier within three (3) days.

3. Prices and Payment

  • Currency: All prices are quoted in Euros (€) excluding VAT, unless the Client is situated in the country where the product is shipped.
  • Taxes: For cross-border EU and worldwide deliveries, VAT treatment will depend on the applicable tax regime.
  • Online Pricing: Products are invoiced based on the prices in force at the time of order validation. The Supplier may modify prices at any time, and these will be valid for any future orders.
  • Payment Terms: For online orders, payment is due immediately at the time of checkout via the provided secure payment methods (e.g., credit card).

4. Conformity and Hidden Defects

  • Claims: Any claim regarding product conformity must be sent via registered mail within fourteen (14) calendar days of receipt. Minor deviations customary in trade do not constitute a defect.
  • Hidden Defects: The Client must report hidden defects within seven (7) days of discovery and within twelve (12) months of delivery.
  • Limitations: The Supplier’s liability is strictly limited to the replacement or repair of defective products; no damages for indirect losses (loss of profit, etc.) shall be paid.

5. Intellectual Property and Ownership

  • Property Rights: All intellectual property (patents, trademarks, designs) remains the exclusive property of the Supplier.
  • Retention of Title: The Supplier retains ownership of all products until the price is paid in full; the Client must store Supplier products separately until then.

6. Liability and Website Availability

  • Storage: The Supplier is not liable for defects caused by the Client's failure to follow storage or handling recommendations.
  • Platform Access: The Supplier shall not be held liable for any temporary unavailability of the e-commerce website due to technical maintenance or internet network failures.
  • Force Majeure: The Supplier is not liable for delays or failures caused by events beyond its control (war, strikes, natural disasters, etc.).

7. Data Protection

  • Processing: The Supplier processes personal data in accordance with applicable data protection laws, specifically GDPR.

8. Governing Law and Disputes

  • Law: These T&Cs are governed by French law.
  • Jurisdiction: Any disputes shall be brought before the Commercial Court of Paris, France.
  • Language: The English version of these T&Cs is the only binding version.
